Agreement Policy between Excloosiv Events and Communication Private Limited and Artists
This Agreement Policy ("Agreement") is entered into between Excloosiv Events and Communication Private Limited, hereinafter referred to as "Excloosiv," and the artist(s) listed below, collectively referred to as the "Artists." This Agreement outlines the terms and conditions under which the Artists agree to feature and list their profiles on the Excloosiv Artists Management Platform and Excloosiv Stream for booking through Excloosiv and for enjoying the features of Excloosiv Stream. Additionally, this Agreement grants Excloosiv the right to use the Artists' videos, images, and other materials for Excloosiv's promotional activities for the upliftment of the Artists and mutual benefits. The Agreement also covers the procedure for handling booking enquiries received by the Artists on the Excloosiv Platform.
1. Definitions
a. Excloosiv Artists Management Platform: Excloosiv's online platform that connects Artists with potential bookings and provides various management tools.
b. Excloosiv Stream: Excloosiv's streaming platform for showcasing live performances, recorded content, and other related materials.
c. Artists: The musician, vocalists, singers, songwriters, production houses, instrumentalists, or any other creative individuals or entities listed below.
d. Excloosiv Promotional Activities: Activities undertaken by Excloosiv to promote the Artists' profiles, performances, events, or any related content through various marketing channels, including but not limited to social media, websites, newsletters, and advertisements.
2. Profile Listing and Booking
a. The Artists hereby agree to list their profiles on the Excloosiv Artists Management Platform for potential bookings facilitated by Excloosiv.
b. The Artists acknowledge that Excloosiv will actively promote and market their profiles to potential clients and event organizers for booking purposes.
c. Upon receiving booking requests through Excloosiv, the Artists will be responsible for reviewing and responding to these requests in a timely manner.
3. Excloosiv Stream
a. The Artists acknowledge that they will have access to the Excloosiv Stream platform, which allows them to showcase their live performances, recorded content, and other related materials to a wider audience.
b. The Artists agree to comply with the guidelines and policies set forth by Excloosiv regarding content submission and streaming on the Excloosiv Stream platform.
4. Usage of Videos, Images, and Other Materials
a. The Artists grant Excloosiv the non-exclusive, worldwide, royalty-free right to use their videos, images, and other materials for the purpose of promoting the Artists and Excloosiv through various marketing and promotional activities.
b. Excloosiv will ensure that any usage of the Artists' videos, images, and other materials will be in good faith and for the mutual benefit of both parties.
c. Excloosiv will not make any alterations to the Artists' videos, images, and other materials without prior consent, unless necessary for promotional purposes.
5. Management of Booking Enquiries
a. As Excloosiv is a community of Artists, musicians, event organizers, and fans, it is important to maintain a centralized and organized system for handling booking enquiries.
b. In the event that an Artist receives a booking enquiry through comments or direct chats on the Excloosiv Platform, the Artist agrees to promptly forward the customer to Excloosiv for further management.
c. Excloosiv will take responsibility for managing the booking enquiry, including negotiations, marketing, and overall management of the Artists for that
particular event.
d. The Artists understand that this centralized approach ensures efficient coordination and professionalism in handling bookings, as well as maintaining the integrity of the Excloosiv Platform as a comprehensive management and booking system.
6. Compensation and Financials
a. Excloosiv and the Artists shall mutually agree upon the compensation structure for bookings facilitated through Excloosiv.
b. Excloosiv will provide the Artists with regular financial reports and payments for the bookings received through the Excloosiv Artists Management Platform.
7. Term and Termination
a. This Agreement shall commence on the date of signing and shall remain in effect until terminated by either party.
b. Either party may terminate this Agreement by providing written notice to the other party, with a reasonable period for transition and conclusion of ongoing engagements.
8. Governing Law and Dispute Resolution
a. This Agreement shall be governed by and interpreted in accordance with the laws of the jurisdiction in which Excloosiv Events and Communication Private Limited is based.
b. Any disputes arising out of or in connection with this Agreement shall be resolved through amicable negotiations between the parties. If no resolution can be reached, the parties agree to submit to the exclusive jurisdiction of the courts in the aforementioned jurisdiction.
9. Entire Agreement
This Agreement constitutes the entire understanding and agreement between Excloosiv and the Artists regarding the subject matter herein and supersedes all prior negotiations, understandings, or agreements, whether oral or written.
By signing below, the Artists acknowledge that they have read and understood the terms and conditions of this Agreement Policy and agree to be bound by its provisions, including the handling of booking enquiries.
